1. ELIGIBILITY: The Remington Face of Success Sweepstakes (the "Sweepstakes") is intended for participation only by legal residents of the fifty (50) United States or the District of Columbia and is open to individuals who are 21 years of age or older at time of entry, with a valid email address. Do not participate in the Sweepstakes unless you meet the eligibility requirements and are physically located in the fifty (50) United States or the District of Columbia at the time of entry. Void where prohibited. Persons in any of the following categories are NOT eligible to participate or win a Prize in the Sweepstakes: (a) persons who are directors, officers, employees or agents of Sponsor, its member teams, or any parent, subsidiary, affiliate, franchisee, or distribution agency or independent contractor of such entities; (b) individuals engaged in the development, production or distribution of materials for this Sweepstakes; and (c) persons who are immediate family members (defined as spouse, IRS dependent or biological or step- mother, father, sister, brother, daughter, or son and each of their respective spouses) of any person in any of the preceding categories, regardless of where they live, and/or individuals who reside in the same household, whether related or not, as any person in any of the preceding categories. The transfer of Prizes or Sweepstakes materials from an ineligible to an eligible person is strictly prohibited.

2. HOW TO ENTER: Sweepstakes begins on or about October 15, 2009 at, 12:00:01 a.m. Eastern Time [“ET”] and is scheduled to end on January 15, 2010, at 11:59:59 p.m. ET (the "Promotion Period"). There is one (1) way to play: Online at www.remingtonfaceofsuccess.com (the “Website”). Log on to the Website and follow the prompts. Users are required to enter their date-of-birth and email address. If eligible, first time users will need to provide their first and last name, daytime telephone number, complete address, city, state and zip code, and agree to these Official Rules. The first time you enter the sweepstakes you will be sent a validation email, click the link in the email to validate your email address and be entered in the Sweepstakes. Returning users will be prompted to type in their date-of-birth and the same email address you entered for the first entry, but will not be required to validate their email address or full details. Limit one (1) entry per person and/or email address per day of the Promotion Period. Incomplete entries will be disqualified. There is a limit of one email address per eligible person. If an entrant is found to be entering with more than one email address, all entries submitted by such entrant will be void. The Website’s database clock is the official timekeeper for this Sweepstakes. Once submitted, entries become the property of the Sponsor. No software generated or other automated, or third party entries will be accepted.

3. WINNER SELECTION: A random drawing will be conducted by an independent judging organization on or about January 18, 2010 from all eligible entries received. The potential winner (“Winner”) will be notified by phone, and/or mail on or about three (3) business days after the drawing, in accordance with the contact information provided by the potential Winner at registration. Sponsor is not responsible for any change in entrant's mailing address, email address and/or telephone number. The decisions of the judges shall be final in all matters relating to the Sweepstakes.

4. PRIZE/APPROXIMATE RETAIL VALUE/ODDS: One (1) Prize is available. Prize Winner will receive a (3) day / (2) night trip to Las Vegas for the Winner and 3 guests (party of 4) (Guests must be at least 21 years of age). Prize consists of: round-trip, coach class air transportation for the Winner and three (3) guests from the major commercial airport nearest the Winner’s residence within the U.S. to Las Vegas, NV; accommodations for three (3) days / two (2 ) nights in two (2) high roller suites at the Hard Rock Hotel and Casino to a maximum value of $5,000 per suite per night; limousine transfers from/to airport/hotel. Prize also includes Winner’s choice of two (2) Daytime Activities (such as sightseeing, spa or sports activities to a maximum value of $650 per activity per person) for Winner and three guests and two (2) Evening Activities such as shows or fine dining experiences (to a maximum value of $500 per activity per person) for Winner and three guests from a variety of options, to be determined when travel/Prize is booked. Winner and guests are not obligated to select and/or participate in any Activities. All accommodations and Activities are subject to availability, and are included in the Prize at the sole discretion of Sponsor. Total approximate retail value ("ARV") of entire Prize: $55,000, which includes $4,000 total spending money for the Winner only. The actual value of Prize may vary and will depend on the final itinerary/Activities selected by the Winner, and any difference between the stated value and actual value will not be awarded. Trip must be completed by June 30, 2010. Winner and guests must possess all required travel documents, including a valid government issued photo identification, comply with all security requirements (for example, for air travel, hotel, and any activity venues), and travel on dates, flights and times approved by Sponsor. Winner and guests must travel on the same itinerary and attend all Activities together at all times. Travel guests must sign and return a travel release before any ticketing of travel occurs. Travel and accommodations are subject to availability; change, restrictions and blackout periods may apply. The odds of winning a Prize depend upon the total number of eligible entries received.

5. PRIZE RESTRICTIONS/CONDITIONS:
a. Additional Prize Conditions: All details of Prize not specified will be as solely determined by Sponsor. All expenses, fees and charges not specifically stated, are solely the responsibility of the Prize Winner. If a Winner cannot accept the Prize as stated, the Prize and all components of the Prize may be forfeited in its/their entirety. Tickets for the air travel and activities, as applicable, are subject to the terms, conditions and restrictions printed on the tickets. Airline tickets are non-refundable/non-transferable and are not valid for frequent flyer miles. Travel is subject to the vagaries of flight variation, work stoppages, schedule or route changes, and restrictions. Should a Winner or any guests engage in behavior that (as solely determined by Sponsor) is obnoxious, threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the trip early, in whole or in part, and escort the Winner and/or his or her guests out of the activity and send the Winner and/or the guests to the return airport with no further compensation. Prize and Prize components, are non-assignable, non-transferable, and will be deemed void if sold, transferred, auctioned or assigned to any third person. No cash alternative or substitution of Prizes or Prize components will be allowed, except Sponsor reserves the right in its sole discretion to substitute Prize(s), or Prize components of comparable value, if the Prize or Prize component becomes unavailable for any reason. If any Activities do not take place as scheduled for reasons beyond Sponsor’s control, then Prize Winner will receive the remaining Prize components, if any, of the Prize which shall constitute full satisfaction of Sponsor’s Prize obligation to the Prize Winner, and no other or additional compensation will be awarded. Taxes are solely the responsibility of Prize Winner. A 1099 Tax Form and such other documents as may be required by law, for the retail value of the Prize will be issued in January, 2011 following the receipt of Prize or time of trip.

BY ACCEPTING PRIZE AND SELECTING ANY ACTIVITIES (REFERENCED IN PARAGRAPH 4), WINNER AND ANY TRAVEL GUESTS: (A) ACCEPT THE INHERENTLY DANGEROUS NATURE AND RISK OF ANY SELECTED ACTIVITIES INCLUDING PERSONAL INJURY AND/OR DEATH, (B) ACKNOWLEDGE THAT THEIR PARTICIPATION IN THE PRIZE EVENT OR ANY ACTIVITY IS VOLUNTARY,(C) ACKNOWLEDGE THAT THERE ARE NATURAL FACTORS AND OCCURRENCES WHICH MAY IMPACT ON OR AFFECT THE SAFETY OF THE ACTIVITIES THEY ARE PARTICIPATING IN AND (D) ASSUME THE RISK OF SUCH FACTORS AND OCCURRENCES AND AGREE THAT PROMOTION ENTITIES (DEFINED BELOW) SHALL NOT BE IN ANY WAY RESPONSIBLE FOR ANY RESULTING INJURY AND/OR DEATH AND WINNER AND ANY TRAVEL GUESTS SHALL INDEMNIFY AND HOLD PROMOTION ENTITIES HARMLESS FROM ANY THIRD PARTY CLAIMS AGAINST PROMOTION ENTITIES THAT RESULT IN ANY MANNER FROM THEIR ACTIONS OR INACTIONS AFTER WINNER ACCEPTS THE PRIZE. WINNER AND ANY TRAVEL GUESTS RELEASE AND WAIVE ANY AND ALL CLAIMS THEY HAVE OR MIGHT HAVE (KNOWN OR UNKNOWN) AGAINST PROMOTIONAL ENTITIES AS A RESULT OF PARTICIPATION IN ANY ACTIVITY.

b. Prize Claim Documents: Potential Prize Winner and each guest will be required to complete, execute, and return an Affidavit of Eligibility, a Liability Release and, where legal, a Publicity Release (collectively, “Prize Claim Documents”) within five (5) days of receipt of the Prize Claim Documents. If completed and executed Prize Claim Documents are not returned within a timely manner or are returned as non-deliverable, or the Prize Claim Documents are not truthful and accurate in all respects or potential Winner is found to be ineligible or otherwise not in compliance with these Official Rules, such potential Prize Winner may be disqualified, the Prize forfeited. Travel and Prize documents will not be issued until Prize Claim Documents are received and the potential Winner is verified as a Winner. Once a guest is determined, the guest cannot be changed without the approval of Sponsor, which may be denied for any reason whatsoever. If Sponsor so elects, the potential Prize Winner may be required to submit to a confidential background check to confirm eligibility and help ensure that the use of any such person in advertising or publicity for the Sweepstakes will not bring Sponsor into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Sweepstakes or the Sponsor as solely determined by Sponsor.

6. GENERAL TERMS AND CONDITIONS: As a condition of entering, entrants agree (and agree to confirm in writing: (a) that Remington, its parent company Spectrum Brands, Inc., subsidiaries, affiliates and franchisees, and each of their respective officers, directors, employees, representatives and agents, including Eric Mower and Associates (collectively and individually the “Promotion Entities”) shall not be responsible or liable for, and are released from, any and all losses, damages or injuries of any kind (whether due to negligence or otherwise) to person, including death, and property, resulting in whole or in part, directly or indirectly, from participation in the Sweepstakes or any Sweepstakes related or travel related activity, or from participant’s acceptance, receipt, possession and/or use or misuse of any Prize; (b) under no circumstances will entrant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this sweepstakes, or any Prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs. Acceptance of a Prize constitutes Prize Winner’s permission (which shall be confirmed in writing upon the request of Sponsor) for Promotion Entities to use Prize Winner’s name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising, trade, commercial and/or publicity purposes worldwide in all forms of media now known or hereafter developed, including on the World Wide Web, at any time or times, in perpetuity, without further compensation (except where prohibited by law) and without notification, review or approval or further authorization. It is the participant’s responsibility to ensure that he/she has complied with the terms and conditions contained in these Official Rules. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person. Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Sponsor reserves the right, without prior notice and at any time, to terminate the Sweepstakes, in whole or in part, or modify or suspend the Sweepstakes in any way, if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions have destroyed or severely undermined the integrity and/or feasibility of the Sweepstakes. In the event Sponsor is prevented from continuing with the Sweepstakes as contemplated herein or by any event beyond its control, including but not limited to fire, flood, natural or man made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the Sweepstakes. If the Sweepstakes is terminated, in whole or in part, before the designated end date, Sponsor reserves the right to select Winner in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. Only the type and quantity of Prizes described in these Official Rules will be awarded. If the Prize is not duly claimed in accordance with these Official Rules, it may not be awarded. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

7. TECHNOLOGY TERMS AND CONDITIONS: Promotion Entities shall have no responsibility for any damage to an entrant’s computer or telephone system that is directly or indirectly caused by accessing the Website or otherwise participating in the Sweepstakes, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, dropped or delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Promotion Entities are not responsible for incomplete, misdirected, late, lost, damaged, or stolen entries or emails; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, Websites or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical or programming malfunctions, failures, or difficulties, printing errors, clerical, typographical or other error in the offering or announcement of any Prize or in any Prize notification documents, or other errors of any kind or nature; or for the incorrect or inaccurate capture entry or other of information, or the failure to capture or loss of any information. Promotion Entities are not responsible for any incorrect or inaccurate information, whether caused by Website users, tampering or hacking, or by any of the equipment or programming associated with or utilized in the Sweepstakes and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Website. Internet entry must be made by the entrant, only at the Website. Any use of robotic, automatic, macro, programmed or third party entry methods will void all such entries by such methods, and disqualify any participant using such methods. In the event of a dispute as to the identity of an entrant, any online entry will be deemed submitted by the authorized account holder of the email account from which it was sent. The authorized account holder shall be the natural person to whom the applicable email address has been assigned by the Internet access provider, service provider, or other online organization responsible for assigning email addresses for the domain associated with the submitted email address. A potential Winner may be requested to provide the Sponsor with proof that the potential Winner is the authorized account holder of the email address associated with the winning entry. If a dispute cannot be resolved to Sponsor's satisfaction, the affected entry will be deemed ineligible.

8. GOVERNING LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of the participant or Sponsor in connection with the Sweepstakes shall be governed by and construed in accordance with the internal laws of the state of Wisconsin without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws.

9. PRIVACY: Information collected in connection with this Sweepstakes may be shared with Sponsor's promotional partners if and to the extent entrants agree at the time of entry, and in such event, such promotional partners will use such information in accordance with their own independent privacy practices. Except as otherwise contemplated in these Official Rules, information collected in connection with this Sweepstakes will be used by Sponsor in accordance with its online privacy policy, which can be found at www.remington-products.com
